ความแตกต่างระหว่างสัญญาเช่า เช่าซื้อ และขายผ่อนชำระ
แนวทางบัญชีและภาษีสำหรับสัญญาเช่านั้น ความแตกต่างของประเภทสัญญาเช่า ก็มีผลโดยตรงต่อแนวทางบัญชีและทางภาษี ที่ทำให้แตกต่างกันไป ทั้งนี้สัญญาเช่าอาจแบ่งประเภทใหญ่ ๆ ได้ดังนี้
1. สัญญาเช่า
2. สัญญาเช่าซื้อ
3. สัญญาขายผ่อนชำระ

1. สัญญาเช่า
ตามประมวลกฎหมายแพ่งและพาณิชย์ มาตรา 537 บัญญัติว่า “อันว่าเช่าทรัพย์สินนั้น คือสัญญาซึ่งบุคคลคนหนึ่งเรียกว่า ผู้ให้เช่า ตกลงให้บุคคลอีกคนหนึ่ง เรียกว่า ผู้เช่า ได้ใช้หรือได้รับประโยชน์ในทรัพย์สินอย่างใดอย่างหนึ่ง ชั่วระยะเวลาอันมีจำกัด และผู้เช่าตกลงจะให้ค่าเช่าเพื่อการนั้น” ทั้งนี้จากบทบัญญัติดังกล่าว ก็ไม่แตกต่างจากคำนิยามของมาตรฐานการบัญชี ฉบับที่ 29 (ปรับปรุง 2550) เรื่อง สัญญาเช่า ระบุว่า สัญญาเช่า หมายถึง สัญญาหรือข้อตกลงที่ผู้ให้เช่าให้สิทธิแก่ผู้เช่าในการใช้สินทรัพย์สำหรับ ช่วงเวลาที่ตกลงกันเพื่อแลกเปลี่ยนกับค่าตอบแทนซึ่งได้รับชำระในงวดเดียว หรือหลายงวด อย่างไรก็ตาม ในความหมายของทางบัญชีแล้ว สัญญาเช่าตามคำนิยามยังรวมถึง สัญญาเช่าสินทรัพย์ที่ผู้เช่ามีสิทธิที่จะได้รับกรรมสิทธิ์ในสินทรัพย์ที่ เช่า เมื่อผู้เช่าปฏิบัติตามเงื่อนไขที่ตกลงกัน สัญญาเช่าดังกล่าวบางครั้งเรียกว่า “สัญญาเช่าซื้อ” ซึ่งแตกต่างกับความหมายของประมวลกฎหมายแพ่งและพาณิชย์ ซึ่งถือว่าสัญญาเช่าซื้อ เป็นสัญญาอีกชนิดหนึ่ง ดังที่จะได้กล่าวในหัวข้อถัดไป (แต่ในทางบัญชี สัญญาเช่าซื้อ ถือเป็นสัญญาเช่ารูปแบบหนึ่งภายใต้สัญญาเช่าการเงิน)
จากความแตกต่างดังกล่าว เป็นที่น่าสังเกตประการหนึ่ง กล่าวคือ ในทางบัญชีนั้น มิได้ให้ความสำคัญกับ “หลักกรรมสิทธิ์” เหมือนกับทางกฎหมายแพ่งและพาณิชย์ จึงทำให้ทางบัญชีพิจารณาว่าสัญญาเช่าซื้อ ถือเป็นรูปแบบหนึ่งของสัญญาเช่า
2. สัญญาเช่าซื้อ
ตามประมวลกฎหมายแพ่งและพาณิชย์ มาตรา 572 บัญญัติว่า “อันว่าเช่าซื้อนั้น คือสัญญาซึ่งเจ้าของเอาทรัพย์สินออกให้เช่า และให้คำมั่นว่าจะขายทรัพย์สิน หรือจะให้ทรัพย์สินนั้นตกเป็นสิทธิแก่ผู้เช่า โดยเงื่อนไขที่ผู้เช่าได้ใช้เงินเป็นจำนวนเท่านั้นเท่านี้คราว” ทั้งนี้กรรมสิทธิ์ในสินทรัพย์เช่าซื้อยังคงอยู่กับผู้ให้เช่าซื้อ จนกว่าผู้เช่าซื้อได้ใช้เงินจนครบเงื่อนไขตามสัญญา กรรมสิทธิ์จึงโอนไปยังผู้เช่าซื้อ แต่เจตนารมณ์ของสัญญาเช่าซื้อ อาจวินิจฉัยได้ว่า เป็นการ “ขาย” เพียงแต่มีเงื่อนไขการชำระเงินที่ยาวนานกว่าปกติ
3. สัญญาขายผ่อนชำระ
เนื่องจากการขายผ่อนชำระไม่มีบทบัญญัติตามกฎหมายแพ่งและพาณิชย์โดยตรง แต่ให้ใช้บทบังคับตามสัญญาซื้อขายทั่วไป จึงอาจกล่าวได้ว่า การขายผ่อนชำระ คือ การที่ผู้ขายส่งมอบสินค้าหรือบริการให้แก่ผู้ซื้อโดยยินยอมให้ผู้ซื้อจ่าย ชำระเงินค่าสินค้าหรือบริการบางส่วน ซึ่งเรียกว่า เงินวางเริ่มแรกหรือเงินดาวน์ ส่วนที่เหลือจ่ายชำระเป็นงวดๆ ภายในระยะเวลาที่กำหนด อาจจะมีการคิดดอกเบี้ยสำหรับเงินที่ค้างชำระ หรือไม่คิดดอกเบี้ยก็ได้ ด้วยเหตุที่ การขายผ่อนชำระ ใช้บทบังคับตามสัญญาซื้อขายทั่วไป ซึ่งประมวลกฎหมายแพ่งและพาณิชย์มาตรา 453 บัญญัติว่า “อันว่าซื้อขายนั้น คือสัญญาซึ่งบุคคลฝ่ายหนึ่งเรียกว่า ผู้ขาย โอนกรรมสิทธิ์แห่งทรัพย์สินให้แก่บุคคลอีกฝ่ายหนึ่งเรียกว่า ผู้ซื้อ และผู้ซื้อตกลงว่าจะใช้ราคาทรัพย์สินนั้นให้แก่ ผู้ขาย” ดังนั้นหลักการโอนกรรมสิทธิ์ในทรัพย์สินจึงใช้เช่นเดียวกับการซื้อขายทั่วไป กล่าวคือ การขายผ่อนชำระ กรรมสิทธิ์ในทรัพย์สินจะโอนไปให้ผู้ซื้อทันทีที่มีการตกลงซื้อขาย
